TERMS OF SERVICE AGREEMENT

These Terms of Service (“Terms,” “Agreement,” or “Terms of Service”) constitute a legally binding agreement between Live Free Software (“Live Free Software,” “we,” “us,” or “our”) and the individual or business accessing or using our software, website, applications, products, and services (collectively, the “Services”).

By creating an account, purchasing a subscription, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

Live Free Software provides software and business-management tools that may include, depending on the subscription or services selected:

Customer relationship management (CRM);

Website development and hosting;

Funnels and landing pages;

Forms and surveys;

Appointment and calendar functionality;

Customer communications;

Email marketing and automation;

SMS and MMS messaging;

Marketing automation;

Lead management;

Customer reviews and reputation-management tools;

Invoicing and payment-related functionality;

E-commerce functionality;

Membership functionality;

Chat and communication widgets;

Analytics and attribution;

Third-party integrations;

Automation workflows; and

Other software, tools, and features introduced by Live Free Software from time to time.

Features and functionality may vary depending on your subscription plan.

Live Free Software reserves the right to modify, add, suspend, or discontinue features or portions of the Services at any time.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

By using the Services, you represent that:

You have the legal authority to enter into these Terms;

The information you provide is accurate and complete;

You will maintain the accuracy of your account information; and

You will use the Services only for lawful purposes.

If you are using the Services on behalf of a business, you represent that you have authority to accept these Terms on behalf of that business.

3. Account Registration

Certain features require you to create an account.

You are responsible for:

Providing accurate registration information;

Maintaining the security of your login credentials;

Keeping your account information current;

Preventing unauthorized access to your account; and

All activity occurring under your account.

You must notify Live Free Software promptly if you believe your account has been compromised or accessed without authorization.

Live Free Software is not responsible for losses resulting from your failure to maintain the security of your account credentials.

4. Subscriptions and Billing

Certain Services require payment of recurring subscription fees or other charges.

By subscribing to a paid plan, you authorize Live Free Software or its designated payment processor to charge your selected payment method for applicable fees.

Subscription fees may include:

Monthly or annual subscription charges;

Setup fees;

Website-development fees;

Usage-based charges;

Messaging charges;

Additional user or feature fees;

Third-party service charges; or

Other fees disclosed at the time of purchase.

Automatic Renewal

Unless otherwise stated, recurring subscriptions automatically renew at the end of each billing period.

Your payment method will be charged for the applicable renewal amount unless you cancel before the next billing period.

Taxes

You are responsible for applicable sales, use, value-added, or other taxes associated with your purchase, except taxes imposed on Live Free Software's income.

Price Changes

Live Free Software may modify subscription pricing from time to time.

Where required by law, we will provide appropriate notice before a price change takes effect.

5. Cancellation

You may cancel your subscription according to the cancellation options made available through your account or by contacting Live Free Software.

Cancellation generally prevents future recurring charges but does not automatically entitle you to a refund for amounts already paid.

Unless otherwise stated in your specific order or agreement, subscription fees are non-refundable once charged.

Any refunds, credits, or exceptions are provided at Live Free Software's discretion unless otherwise required by applicable law.

6. Free Trials and Promotional Offers

Live Free Software may offer free trials, promotional pricing, credits, or other introductory offers.

The terms of each offer will be provided at the time of enrollment.

Unless otherwise stated, when a free trial ends, the applicable paid subscription may begin automatically if you have provided a valid payment method and agreed to the applicable subscription terms.

Live Free Software reserves the right to modify or terminate promotional offers at any time.

7. Website Development and Hosting

Where website-development services are included, Live Free Software may create, host, maintain, or modify websites on behalf of customers.

Unless otherwise agreed in writing, website-development services may include:

Website design;

Website development;

Website hosting;

Landing pages;

Forms;

Basic integrations;

Content placement;

Technical maintenance; and

Related website functionality.

The customer is responsible for providing accurate business information, branding materials, photographs, logos, content, pricing, contact information, legal disclosures, and other materials necessary to build and maintain the website.

The customer represents that they have the legal right to provide and use all materials supplied to Live Free Software.

Live Free Software is not responsible for claims arising from customer-provided content, including claims involving copyright, trademark, privacy, defamation, licensing, or other intellectual-property rights.

8. Customer Content

You retain ownership of content and information that you submit to the Services (“Customer Content”), subject to the rights granted to Live Free Software under these Terms.

Customer Content may include:

Business information;

Text;

Images;

Videos;

Logos;

Customer information;

Contact lists;

Forms;

Marketing materials;

Messages;

Website content;

Documents; and

Other materials submitted to the Services.

You grant Live Free Software a limited license to host, process, transmit, reproduce, display, and otherwise use Customer Content solely as reasonably necessary to provide, maintain, secure, and improve the Services.

You represent and warrant that you have all rights, permissions, licenses, and consents necessary for Live Free Software to process Customer Content as contemplated by these Terms.

9. Customer Data

If you use Live Free Software to collect or manage information belonging to your customers, leads, contacts, employees, or other individuals, you are responsible for ensuring that your collection and use of that information complies with applicable laws.

This includes applicable privacy, marketing, telecommunications, consumer-protection, and data-protection requirements.

You are responsible for:

Providing required privacy notices;

Obtaining required consents;

Maintaining appropriate records of consent;

Honoring opt-out requests;

Maintaining appropriate security practices;

Using customer information only for permitted purposes; and

Responding appropriately to privacy requests.

Live Free Software provides technology to assist with these activities but does not guarantee that your particular use of the Services will comply with every applicable law.

10. Email Marketing

The Services may allow you to send email marketing, automated emails, transactional communications, and other electronic communications.

You agree that you will:

Send emails only to recipients for whom you have a lawful basis or appropriate permission;

Comply with applicable email-marketing laws and regulations;

Clearly identify the sender;

Use accurate subject lines and sender information;

Include required identification information;

Provide an appropriate method for recipients to unsubscribe;

Honor unsubscribe requests promptly;

Maintain appropriate consent and suppression records; and

Not use the Services to send unsolicited or unlawful bulk email.

You may not use Live Free Software to distribute spam, deceptive communications, phishing messages, malicious content, or other prohibited communications.

Live Free Software may suspend messaging capabilities or accounts that generate excessive complaints, bounces, abuse reports, or other indicators of misuse.

11. SMS and MMS Messaging

The Services may provide SMS and MMS messaging functionality.

Because telecommunications messaging is subject to federal, state, carrier, and industry requirements, you agree to comply with all applicable laws, regulations, carrier requirements, and messaging-provider policies.

This includes, where applicable:

Telephone Consumer Protection Act (TCPA);

Federal Communications Commission requirements;

Applicable state telecommunications and privacy laws;

A2P messaging requirements;

Carrier requirements;

Campaign-registration requirements;

Opt-in and consent requirements; and

Applicable industry messaging standards.

SMS Consent

You are responsible for obtaining appropriate consent before sending SMS or MMS messages.

Consent must be obtained through a lawful method appropriate for the type of message being sent.

You may not purchase, rent, scrape, or otherwise acquire telephone numbers for the purpose of sending unsolicited marketing messages.

A telephone number alone does not necessarily constitute consent to receive marketing messages.

Required Disclosures

Where applicable, SMS opt-in forms and campaigns should clearly disclose:

That the recipient is agreeing to receive text messages;

The identity or nature of the sender;

The types of messages expected;

Message frequency or an appropriate description of frequency;

That message and data rates may apply;

How to obtain help; and

How to opt out.

Opt-Out Requests

You must promptly honor applicable SMS opt-out requests.

Recipients should generally be able to opt out of recurring marketing messages by replying STOP.

You must not attempt to circumvent, suppress, or override a valid opt-out request.

HELP Requests

Where applicable, recipients should be able to request assistance by replying HELP or using the support method identified in the applicable messaging disclosure.

Prohibited SMS Use

You may not use Live Free Software to send:

Unsolicited bulk messages;

Messages without required consent;

Misleading or deceptive messages;

Phishing messages;

Fraudulent messages;

Messages designed to evade carrier filtering;

Messages to purchased or scraped lists;

Messages promoting unlawful activities; or

Any other communications prohibited by applicable law or carrier policies.

Live Free Software may suspend or terminate messaging access if we reasonably believe your messaging activity violates applicable requirements or creates a risk to our telecommunications providers, customers, or Services.

12. A2P Registration and Messaging Approval

Where applicable, SMS campaigns may require registration, verification, approval, or other compliance procedures before messaging functionality is enabled.

Approval is not guaranteed.

Live Free Software may require customers to provide information necessary for messaging registration, including:

Legal business information;

Business address;

Website information;

Campaign descriptions;

Sample messages;

Opt-in information;

Privacy Policy;

Terms of Service;

Business identification information; and

Other information required by messaging providers or carriers.

You agree to provide accurate and truthful information.

Live Free Software is not responsible for delays, rejections, carrier filtering, registration requirements, or other decisions made by telecommunications providers, carriers, messaging platforms, or regulatory authorities.

13. Messaging Charges and Usage

SMS and other communication services may be subject to usage-based fees.

Applicable charges may depend on factors including:

Message volume;

Message type;

Destination;

Carrier;

Country;

Messaging provider;

Telephone number type; and

Other telecommunications factors.

You are responsible for applicable usage charges associated with your account.

14. Third-Party Services and Integrations

The Services may integrate with third-party products, platforms, applications, payment processors, telecommunications providers, analytics services, and other technologies.

Your use of third-party services may be subject to separate terms and privacy policies.

Live Free Software does not control and is not responsible for the availability, security, functionality, policies, or practices of third-party services.

Third-party services may change, suspend, or discontinue functionality without notice to Live Free Software.

15. Payments and Financial Information

Certain Services may allow you or your customers to make payments.

Payment processing may be provided by third-party payment processors.

You agree to comply with applicable payment-provider requirements and not use the Services for fraudulent transactions or unauthorized payment activity.

You are responsible for providing accurate billing and payment information.

16. Acceptable Use

You agree to use the Services only for lawful and legitimate business purposes.

You may not:

Violate applicable laws or regulations;

Infringe intellectual-property rights;

Collect information without appropriate authorization;

Send spam;

Send unsolicited marketing communications;

Engage in phishing or fraud;

Distribute malware or malicious code;

Attempt to gain unauthorized access to accounts or systems;

Interfere with the operation of the Services;

Reverse engineer or attempt to extract source code from the Services;

Circumvent security features;

Abuse APIs or system resources;

Use automated systems to excessively access the Services;

Resell or redistribute the Services without authorization;

Use the Services to facilitate unlawful activity;

Impersonate another person or business; or

Use the Services in a manner that could reasonably harm Live Free Software, its customers, infrastructure, or third-party providers.

17. Prohibited Content and Activities

You may not use the Services for activities that are illegal, fraudulent, deceptive, abusive, or otherwise prohibited by applicable law or our service providers.

Live Free Software may restrict or terminate accounts associated with prohibited activities.

Certain industries, content types, transactions, or messaging campaigns may be subject to additional restrictions or may not be supported by the Services.

18. Intellectual Property

The Services, including the software, platform, user interface, designs, trademarks, logos, documentation, and underlying technology, are owned by or licensed to Live Free Software and are protected by applicable intellectual-property laws.

Except for the limited rights expressly granted under these Terms, you receive no ownership interest in the Services.

You may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Services except where expressly permitted by law or by written authorization from Live Free Software.

19. Feedback

If you provide suggestions, recommendations, ideas, feature requests, or other feedback regarding the Services, you grant Live Free Software the right to use that feedback without restriction or compensation to you.

20. Service Availability

We strive to keep the Services available and operational but do not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable due to:

Maintenance;

Updates;

Security incidents;

Technical failures;

Third-party outages;

Telecommunications issues;

Hosting problems;

Internet failures;

Force majeure events; or

Other circumstances beyond our reasonable control.

21. Account Suspension and Termination

Live Free Software may suspend or terminate your account if:

You violate these Terms;

You fail to pay applicable fees;

Your account creates a security risk;

Your activity violates applicable law;

Your messaging activity violates applicable requirements;

Your activity creates significant carrier or provider risk;

Your account is associated with fraud or abuse;

You misuse the Services; or

Suspension or termination is otherwise reasonably necessary to protect Live Free Software, its users, or third parties.

Where reasonably possible, we may provide notice before suspension or termination. However, immediate action may be taken where necessary to protect the Services or comply with legal, regulatory, security, or provider requirements.

22. Effect of Termination

Upon termination, your right to access the Services will cease.

You remain responsible for amounts incurred before termination.

Certain provisions of these Terms will survive termination, including provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive.

23. Data After Cancellation

After cancellation or termination, Live Free Software may retain or delete account and Customer Content in accordance with our Privacy Policy, applicable agreements, operational requirements, and applicable law.

You are responsible for exporting any information you need before terminating your account.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

LIVE FREE SOFTWARE DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY RELIABLE.

LIVE FREE SOFTWARE DOES NOT GUARANTEE THAT USE OF THE SERVICES WILL RESULT IN ANY PARTICULAR BUSINESS, MARKETING, SALES, SEO, REPUTATION, COMMUNICATION, OR FINANCIAL OUTCOME.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVE FREE SOFTWARE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF LIVE FREE SOFTWARE ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO LIVE FREE SOFTWARE FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

26. Indemnification

You agree to defend, indemnify, and hold harmless Live Free Software and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

Your use of the Services;

Your violation of these Terms;

Your Customer Content;

Your violation of applicable law;

Your email or SMS campaigns;

Your failure to obtain required consent;

Your violation of privacy or telecommunications requirements;

Your violation of third-party rights; or

Your misuse of the Services.

27. Compliance With Laws

You are responsible for determining which laws and regulations apply to your use of the Services.

Depending on your activities and location, these may include laws relating to:

Privacy;

Data protection;

Electronic communications;

Email marketing;

SMS and telecommunications;

Consumer protection;

Advertising;

Intellectual property;

Accessibility;

Payments;

Taxes; and

Other business activities.

Live Free Software provides software and technology and does not provide legal advice.

28. Privacy

Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, disclose, and protect information.

Our Privacy Policy is incorporated into these Terms by reference.

29. Changes to These Terms

Live Free Software may modify these Terms from time to time.

When we make material changes, we may provide notice through the Services, by email, or by other reasonable means.

The updated Terms will become effective on the date stated at the beginning of the revised Terms unless otherwise specified.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

30. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the jurisdiction in which Live Free Software is legally organized, without regard to conflict-of-law principles, unless otherwise required by applicable law.

New Hampshire will be the governing jurisdiction unless otherwise stated in a written agreement between the parties.

31. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes informally.

A party seeking to raise a dispute should provide written notice describing the nature of the dispute and the requested resolution.

Nothing in this section prevents either party from seeking emergency or injunctive relief where such relief is appropriate.

Any arbitration, court proceeding, or other formal dispute-resolution procedure will be conducted in accordance with applicable law and any additional agreement between the parties.

32. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose, where permitted by law.

33. No Waiver

A failure by Live Free Software to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

34. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, applicable order forms, subscription agreements, and other agreements expressly incorporated by reference, constitute the entire agreement between you and Live Free Software regarding your use of the Services.

These Terms supersede prior or contemporaneous understandings regarding the subject matter addressed herein unless otherwise expressly agreed in writing.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where otherwise permitted by applicable law.

Live Free Software may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.

Acknowledgment and Acceptance

By creating an account, purchasing a subscription, clicking an acceptance button, or accessing or using the Services, you acknowledge that you have read, understood, and agreed to these Terms of Service.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that company or organization to this Agreement.
